MEUS GENERAL TERMS AND CONDITIONS

1. Terms of Use.

These terms of service constitute an agreement ("Agreement") between you ("you", "your" and " User") and MEUS S.R.L. ("we", "us", "our”, “developer” and “MEUS”). MEUS is an Italian-registered company, with a registered office in Via Alberto Plini 2, Bastia Umbra (PG), Italy.

These terms set forth the legally binding terms, conditions, policies and notices ("Terms") for your use of the website at http://meusfan.com and all other sites included the mobile app at http://meusmusic.com and available both on the App Store, Google Play Store and similar ones, developed and operated by MEUS (collectively, the “Services” or “Platform”). By using the Services as an Artist, Label, Booking Agency, Promoter, Brand, Media, Fan club (collectively or individually as “Organizer” or “Business Account”), or Fan, by visiting or browsing the Site, or by contributing any content, information, or other materials or services to the Site, you agree to be bound by these Terms. MEUS is an Italian company that deals with the realization, commercialization and distribution of innovative softwares. Moreover, MEUS aims to produce, commercialize, distribute (retailing or wholesale) digital and/or multi-media products and any other product. Joining MEUS is free for the basic version and can provide for the subscription of different types of paid services according to the user’s choice.

2. Inability to make purchases.

In this version of the Software, you may not make any purchase transactions. Therefore, you agree that any Subscription, Virtual Goods and Virtual Money available for purchase in the Software, as well as the prices and fees thereof, are not true and official in this beta version, but are for testing purposes only and therefore do not imply any cash disbursement for the user or any obligation on the part of the developer to provide the relevant product or service that is being offered or any other obligation on the part of the seller in customary purchase transactions. MEUS in its sole discretion may change the terms of the offer in any manner and at any time. When and if MEUS makes it possible for you to actually and officially purchase Subscriptions, Virtual Goods, Virtual Money and any other products and services through the Software, it will update and/or replace this Agreement with a new one. We will alert you about any changes by updating the “Last updated” date of these general terms. You are encouraged to periodically review these general terms and conditions to stay informed of updates. You will have to accept the new Terms and Conditions in order to make purchases.

3. Service/Contests/Frieebies/Rewards.

a. MEUS is a platform where fans can get points whenever they listen to music on the biggest music streaming platforms and purchase tickets and merchandise of their favorite artists almost anywhere online. Certain organizers ("Organizers") can create contests and/or freebies by offering merit-based rewards of different types and levels to different users ("Fans") to incentivize and facilitate marketing of the Organizer and its activities by its Fans ("Contests/ Freebies").

b. By creating a Contest/Freebie on MEUS, the Organizer is offering Fans the opportunity to interact with artists. By participating in the Contest/ Freebie, the Fan accepts that offer and a contract between the Organizer and Fan is formed.

c. Organizers are wholly responsible for fulfilling obligations both implied and stated in any Contest/ Freebie they create and are required to fulfill all rewards if achieved. Organizers shall make a good faith attempt to fulfill each reward by its delivery date as noted in the Contest/ Freebie. For some rewards, the Organizer may need further information from Fans (e.g., a mailing address) to enable the Organizer to deliver the reward. The Organizer and/or MEUS shall request the information directly from Fan before the Contest/ Freebie reward is achieved. To receive the reward, Fans agree to provide the requested information to the Organizer and/or MEUS within a reasonable amount of time or as otherwise set forth in the Contest/ Freebie official rules.

d. MEUS reserves the right to reject, cancel, interrupt, remove, or suspend a Contest/ Freebie at any time and for any reason, and shall not be liable for any damages as a result of any such action. MEUS may terminate Contests/ Freebies and/or accounts of users that are single or repeat infringers of the intellectual property rights of others.

e. MEUS is not liable for any damages or loss incurred related to rewards or any use of the Service. MEUS is under no obligation to become involved in disputes between Organizers or Fans, including, but not limited to, disputes relating to the delivery of rewards MEUS does not oversee the performance or punctuality of rights and/or obligations associated with any Contests/ Freebies. You hereby release MEUS, its owners, shareholders, members, officers, employees, agents, licensees and successors from any claims, damages, or demands of any kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and the Service.

f. MEUS creates weekly fan leaderboards for each artist and monthly fan leaderboard for each Album/Single regardless of the direct and/or indirect promotion of the artist and MEUS does it totally free of charge. The fan certifications that MEUS will attribute to deserving fans have a strong identity communicative value in the fanbase, but they have no economic value and cannot be transferred in any way by the user. MEUS does not earn directly from the fan leaderboards; they are a feature developed with the sole purpose of recognizing fans with a symbolic prize for what the artists already ask them to do daily and/or that the fans themselves realize spontaneously. In no way can this activity be considered a copyright infringement. If the artist and/or his representative express their willingness to block or end the fan leaderboards or more generally close the artist’s profile on the app, MEUS will do so by communicating to its fans its express will. MEUS will not impersonate any artist; the official presence of an artist will be communicated by the verified symbol. On the contrary, the following will be reported “This artist is not yet on MEUS, invite her/him” with the possibility for the fan to invite her/him by signing an invitation petition if he wishes.

4. Use of Fan Finder.

a. On certain areas of our Service, you may be given the opportunity to interact with other users. Use of any interactive features of the Service is governed by and subject to the following terms. MEUS may terminate your account if we believe, using our sole discretion, that you have violated any of these rules, the terms in this Agreement, or any law.

b. No Violations of Third-Party Rights: You agree that you will not impersonate any person or organization, including without limitation, the personnel of MEUS. You further agree that you will not misrepresent an affiliation with another person or organization, nor will you post any content that contains slanderous or libelous comments about others, or that infringes any copyright, trademark, patent, trade secret or other intellectual property right of a third party (as well as rights of publicity and privacy). You agree that you will not collect or store personal data about other users except as permitted in the regular course of operation of the Service and pursuant to MEUS’s Privacy Policy.

c. You agree that you will not upload or transmit any content that contains unauthorized business solicitation of any type outside of the scope of the applicable Contest/Freebie or Artist that you support, including advertising products or services unrelated to the Contest/ Freebie, offering a product or service for sale.

d. No Viruses, Corrupting Files or Interference: You agree that you will not post any content that contains viruses, corrupted files, or any other similar software or programs that may adversely affect the operation of MEUS’s system or a third party's computer.

5. Registration

i) For Fan

a. To register, create a “MEUS Account” as Fan and use the Software, the Licensee must enter:

- credentials of her/his Google account (email and password can be an example of required information), hereinafter referred to as “access data” or “Google Account”.

- credentials of her/his Microsoft account (email and password can be an example of required information), hereinafter referred to as “access data” or “Microsoft Account”.

- credentials of her/his Apple account (email and password can be an example of required information), hereinafter referred to as “access data” or “Apple Account”.

- credentials of her/his Yahoo account (email and password can be an example of required information), hereinafter referred to as “access data” or “Yahoo Account”.

- name and surname, email and password to generate from scratch a MEUS account.

b. To get points from music listening, the Licensee must enter the:

- credentials of her/his Spotify account (email and password can be an example of required information), hereinafter referred to as “streaming data” or “Spotify Account”.

- credentials of her/his Last.fm account (email and password can be an example of required information), hereinafter referred to as “streaming data” or “Last.fm Account”.

- credentials of her/his Amazon account (email and password can be an example of required information), hereinafter referred to as “streaming data” or “Amazon Account”.

- upload to MEUS her/his Spotify or Apple Music data, related to the last year or all-time. Licensee can do it in her/his MEUS profile settings, following the instructions.

And maintain access to her/his Google account for YouTube, and to her/his Apple account for Apple Music.

MEUS could develop connections with other music streaming platforms or other platforms in general, that’s why it may request access data to these third platforms.

c. To get points from music-related purchases like tickets and merchandise, the Licensee must give and maintain Gmail, Outlook, Mail and/or Yahoo account access, with the access data mentioned above. That will allow MEUS to get access to the Licensee received Emails for the only purpose of verifying the Licensee purchases and attributing points associating them to the right artist, time by time.

Any of these connections to third platforms is performed by MEUS through the OAuth 2.0 Open Authorization. OAuth 2.0 is an authorization framework that enables third-party applications to access resources on behalf of a user without requiring the user to share their credentials. It facilitates secure delegated access to user accounts and protected resources across the web and mobile applications

Your participation in the Service may require you to supply information to MEUS. If so requested, you shall provide accurate, complete, and updated registration information; failure to do so may constitute a breach of the Terms, which may result in the immediate termination of your account. It is your responsibility to maintain the currency, completeness, and accuracy of your registration data, and any loss caused by your failure to do so is your responsibility. Personal information supplied by you shall be subject to MEUS’s Privacy Policy, which is incorporated in these Terms by this reference. MEUS shall have the right to distribute such registration information to Organizers and as otherwise permitted in the Privacy Policy, and otherwise processed in Italy. MEUS is not liable for any loss that you may incur as a result of someone else using any of your third platform’s password or account, or any other platforms, either with or without your knowledge. b. You shall not use a user or screen name that: (i) Is the name of another person, with the intent to impersonate that person; (ii) is subject to any rights of another person; or (iii) is vulgar, offensive, slanderous, libelous, or obscene.

d. In a more specific way MEUS will be able to use the information provided by you to: Compile anonymous statistical data and analysis for use internally or with third parties; Sell advertising, sponsorships, or promotions on the Services; Sell the Service, or Sell the access to it or part of it even with the payment of a subscription fee (including any e-commerce initiated via the Service; Perform other business activities as needed; Create and manage your profile on the Service; Create Contest/Freebie Organizer's profile, artists' profile and other any third party's profile; SMS or Email you regarding various communications; Enable connections between you and other users; Increase the efficiency and operation of the Service; Monitor and analyze usage and trends to improve the Service; Notify Service updates or changes in terms and conditions; Promote products of MEUS or of third parties; Offer new products, services, mobile applications, and/or recommendations to you; Perform other business activities as needed; Prevent fraudulent transactions, monitor against theft, and protect against criminal activity; Process payments and refunds; Request feedback and contact you about your use of the Service; Send to you a newsletter; Solicit support for MEUS.

e. MEUS reserves the right in its sole discretion to refuse your registration. You are solely responsible for the activity that occurs on your account. You shall never use another person's account without their express permission. You shall immediately notify MEUS in writing at ciao@meusfan.com of any unauthorized use of your account or other known account-related security breaches. If you elect not to register and provide such information, you may not be able to access certain content or participate in certain features of the Services or any features at all.

f. MEUS shall have the right to store data and information and to distribute such data and information to Organizers, artists, and their right holders, subject to MEUS’s Privacy Policy, these Terms, or any other public policy, statutes, and/or regulations, including but not limited to your GOOGLE, APPLE, MICROSOFT, SPOTIFY, YAHOO, LAST.FM identification and similar ones, email, first and last name, phone number, gender, list of songs you like, playlists, current city, hometown information, and your last purchases. MEUS, starting from the aforementioned data, and from your actions in the Platform could derive metadata.

ii) For Organizer

a. To register, create a “MEUS Business Account” as Organizer and use the Software, the Licensee must enter:

- credentials of her/his MEUS account (email and password can be an example of required information), hereinafter referred to as “access data” or “MEUS Account”.

- name of the Organizer.

- image of the Organizer.

- email address.

- select the category that express who they are (Artist, Label, Booking Agency, Promoter, Brand, Media, Fan club).

- insert the links for its social network profiles.

- select the artists with whom the organizer collaborates or supports.

b. To create a Contest the Organizer must enter the:

- name of the Contest.

- cover image of the Contest.

- a description of the Contest.

- select a goal for the Contest (Sell more Tickets, Sell more merch, More streams, More views, Other).

- select the artists.

- upload the rewards.

- select the Contest geographical availability, thus in which countries the Contest is available.

- select a start date.

- select an end date.

All activities generated by the organizer, as well as those generated by fans, are subject to these Terms and Conditions and the MEUS Privacy Policy.

6. Rules and Conduct.

a. As a condition of your use of the Service, you shall not use the Service for any purpose that is prohibited by the Terms or other applicable law.

b. You shall not directly or indirectly: (i) interfere or attempt to interfere with, impair, or disable the proper working of the Service or any activities conducted on the Service; (ii) bypass any measures MEUS may use to prevent or restrict access to the Service (or other accounts, systems, or networks connected to the Service); (iii) run any form of auto-responder, spam, software, or device to "crawl" or data-mine the Site or Service, or any automated devise or program that submits postings in bulk, at regular intervals (without being manually entered), or in any way is considered "gaming the system".

c. Attempts at phishing/pharming, using scripts or proxies, or any attempt to bypass the content limits in place to promote authenticity, including but not limited to clearing cookies or cached files, private browsing, using a fake account, or using "sites" dedicated to getting contest votes, using "sites" dedicated to buying or trading services for points, using "sites" that may promote or allow activity deemed unauthentic by MEUS, or any other activity deemed fraudulent by MEUS in an attempt to impersonate fan activity is a violation of MEUS’s rules and MAY result in account suspension, disqualification and/or loss of earned points, in MEUS’s or Organizer's sole discretion.

d. The passionate fans campaigning on MEUS have the power to inspire genuine fan activity from their friends and followers to engage with and grow the fan base of their favorite band/artist. MEUS offers big incentives for influencing their friends to check out songs, events, and merchandise or other realese, therefore, MEUS takes authenticity extremely seriously.

e. All Contests/ Freebies are subject to their own set of official rules in addition to these Terms.

7. Third-Party Sites.

The Site may link to other websites or resources on the Internet (e.g., Spotify, Apple Music, Last.fm), and other websites or resources may contain links to the Site. When you access third-party websites, you do so at your own risk. Those other websites are not under MEUS’s control, and you acknowledge that MEUS is not liable for the content, products, services, function, legality, or any other aspect and/or materials available via those other websites or resources. You further acknowledge and agree that MEUS shall not be liable for any damage as a result of or related to the use of any content, goods, or services available through any third-party website or resource.

8. Content.

a. All, sound recordings, musical compositions, software, trademarks, copyrights, and other materials and information (collectively, "Content") transmitted, uploaded, stored, reproduced, distributed, and downloaded by you through the Site and Service shall be your sole responsibility. You shall abide by and maintain all copyright and other legal notices, information, and restrictions contained in any Content accessed through the Service.

b. By submitting Content on the Site, you hereby grant to MEUS, its users and licensees, the following and license to reproduce, display, publicly perform, stream, transmit, copy, reproduce, digitally distribute, and otherwise use your Content, as applicable, solely for promotional purposes in connection with the Service and Site, and to take whatever other action is necessary to perform and market the Service.

c. You further grant to MEUS the right and license to use and publish and permit others to use and publish, your name, screen name, likeness(es), and in connection with the Service.

d. You shall not and shall not permit any third party using your account to take any action or submit Content that infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any other person or entity, or violates any law or contract.

9. Copyright Policy and Notifications.

a. MEUS will remove infringing materials if properly notified that the Content infringes another's copyright.

b. If you believe that your account has been removed or disabled by mistake or misidentification, please notify MEUS in writing at ciao@meusfan.com .

c. The Licensee is entitled to the rights according to article 7 of the Privacy Code and article 15 of the GDPR. Specifically, he/she may request confirmation of the existence or otherwise of personal data and further details on the processing carried out by MEUS; a copy of the personal data; to update any inaccuracies in the data; to delete any data for which there is no legal basis for processing; to revoke his/her consent; to object to any processing. Where applicable, the Licensee also has the rights under Articles 16-21 GDPR (Right to rectification, right to be forgotten, right to restrict processing, right to data portability, right to object), as well as the right to complain to the Data Protection Authority. You may exercise your rights at any time by sending an email to privacy@meusfan.com.

10. Termination.

If you wish to terminate your account, you may do so by following the instructions on the Site. All provisions of the Terms that by their nature would survive termination shall appropriately survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Warranties and Representations/Disclaimers.

a. You hereby warrant and represent that: (i) You have the right and power to enter into and fully perform all of your obligations under these Terms; (ii) you have the authority and right to provide MEUS with the rights granted herein; (iii) MEUS’s exercise of the rights granted herein will not infringe upon any copyright, trademark, right of publicity, moral right or other proprietary, intellectual property, contractual or other rights of any person; (iv) the Content shall not violate any applicable laws or regulations, including, without limitation, defamation and obscenity laws; (v) all Content is fully licensed; (vi) no agreement of any kind entered into by you will interfere in any manner with MEUS’s complete performance of these Terms; and (vii) MEUS shall not be required to make any payments to third parties in connection with the use of the Content and operation of the Service,

b. MEUS makes no warranty or representation that: (i) The Service will be secure or available at any time or location; (ii) any defects or errors will be corrected; (iii) any content or software available at or through the Service is free of viruses or other harmful components; or (iv) the results of using the Service will meet your requirements or the results you desire are obtained. Your use of the Service is solely at your own risk, knowing and understanding all such risks.

12. Limitation of Liability.

In no event shall MEUS its owners, shareholders, members, directors, employees, agents, partners, licensees, representatives, or content providers, be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory concerning the Service for (a) any damage to your computer system, lost profits, data loss.

13. Electronic Delivery/Notice Policy.

By using the Services, you consent to receive from MEUS all communications, including notices, agreements, legally required disclosures, or other information in connection with the Services electronically at the e-mail provided by you automatically with the OAuth 2.0 or your phone number if you shared it. MEUS may also provide such notices by posting them on the Site. The telephone number may be required optionally to deepen communication with the user about the artists he likes to listen to and not to promote products or services that do not interest the Licensee.

14. Miscellaneous.

a. MEUS shall not be liable for any failure to perform its obligations hereunder where the failure results from any cause beyond MEUS’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

b. In any action or proceeding to enforce rights under the Terms, the prevailing party will be entitled to recover court costs and reasonable attorneys' fees.

c. The Terms and other referenced material contain the entire agreement between you and MEUS concerning the Service and supersede all prior or contemporaneous communications and proposals (whether verbal, written, or electronic). If any provision hereof is found to be unenforceable, unlawful, or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the rest of the Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

d. This Site is owned and operated by MEUS developer. All of the content created by MEUS and featured or displayed on the Site, including, but not limited to, text, graphics, photographs, images, moving images, trademarks, recordings, illustrations, and software is owned or controlled by MEUS. You agree not to download, display, or use any MEUS Content located on the Service for use in any publications, in public performances, on websites other than this Service for any other commercial purpose, in connection with products or services that are not those of MEUS, in any other manner that is likely to confuse consumers, that disparages or discredits MEUS.

15. Acceptance of Terms.

a. The Service is offered subject to the acceptance of these Terms, and all other operating rules, policies, and procedures that may be published on the Platform by MEUS, which are incorporated by reference.

b. MEUS reserves the right, at its sole discretion, to modify or replace these Terms or other supplementary rules by posting the updated terms on the Site. It is your responsibility to check the Terms periodically for changes; provided, however, that your continued use of the Service following the posting of any changes to the Terms constitutes acceptance of those changes.

c. MEUS may also impose limits on certain features and services or restrict your access to parts or all the Service without notice or liability.

d. You represent and warrant that you are at least 13 years old and that all registration information you submit is accurate and truthful. If you are under the age of 18, you hereby represent that you are using the Service with the consent of your parent or guardian (Guardian), and that said Guardian is at least 18 years old, is the legal Guardian of the person listed on the MEUS account, and that said Guardian has expressly permitted to access the Service. This service is not directed at children.

16. Apple App Store and Google Play additional license terms.

If the MEUS Mobile Application is provided to you through Apple Inc. (Apple Inc. together with all of its affiliates, “Apple”) App Store, the following terms and conditions apply to you in addition to all the other terms and conditions of these Terms of Use.

If any of the terms and conditions in these Terms of Use are inconsistent or in conflict with Instructions for Minimum Terms of Developer’s End-User License Agreement (the current version as of the date these Terms of Use was last updated is located at: https://www.apple.com/legal/internet-services/itunes/dev/minterms/) or Apple Media Services Terms and Conditions (the current version as of the date these Terms of Use was last updated is located at: https://www.apple.com/legal/internet-services/itunes/ca/terms.html), the terms and conditions of Apple’s instructions for Minimum Terms for Developer’s End User License Agreement or App Store Terms of Service, as applicable, will apply to the extent of such inconsistency or conflict.

If the MEUS Mobile Application is provided to you through Google Inc. (Google Inc. together with all of its affiliates, “Google”) Google Play store, the following terms and conditions apply to you in addition to all the other terms and conditions of these Terms of Use: You acknowledge that Google is not responsible for providing support services for the MEUS Mobile Application. If any of the terms and conditions in these Terms of Use are inconsistent or in conflict with the Google Play Terms of Service (the current version as of the date these Terms of Use were last updated is located at https://play.google.com/about/play-terms/index-update.html), the terms and conditions of Google’s Google Play Developer Distribution Agreement will apply to the extent of such inconsistency or conflict.

17. Collecting and storing certain information locally on your device

By using this app, you acknowledge and agree that MEUS may collect and store certain information locally on your device, including but not limited to your app preferences, usage data, and user-generated content, to improve and personalize your app experience. MEUS will not collect any personal information that could identify you without your explicit consent, and you may delete or disable any locally stored data at any time through the app's settings. Please refer to MEUS’s Privacy Policy for more information on how MEUS collects, uses, and protects your data.
