1. THE AGREEMENT AND ACCEPTANCE OF TERMS
1.1. Nature of the Agreement. This document ("Terms of Use", "Terms" or "Agreement") constitutes a legally binding contractual agreement between you, whether personally or on behalf of an entity (“you”, “your”, “User”, “Fan”, or “Organizer”) and MEUS S.R.L., an Italian company with its registered office in Via Alberto Plini 2, Bastia Umbra (PG), Italy (“we”, “us”, “our”, “developer”, or “MEUS”).
1.2. Scope of Services. These Terms govern your access to and use of the website http://meusfan.com, the MEUS mobile application (available on iOS, Android, and other platforms), and all other related digital tools, sub-domains, and services operated by MEUS (collectively, the “Platform” or the “Service”). MEUS operates as an innovative software provider focusing on the realization, commercialization, and distribution of digital and multi-media products designed to reward fan loyalty through gamified experiences.
1.3. Binding Acceptance. By accessing, browsing, registering, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any other legal notices published by MEUS. IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.
1.4. Business Accounts and Organizers. If you are using the Services as an Artist, Record Label, Booking Agency, Promoter, Brand, Media outlet, or Fan Club (collectively "Organizer" or "Business Account"), you represent and warrant that:
You have the legal authority to bind such entity to these Terms.
The entity is legally incorporated and in good standing in its jurisdiction.
Your use of the Service on behalf of the entity does not violate any pre-existing contractual obligations (e.g., exclusivity deals with labels or sponsors).
1.5. Right to Modify Terms (Update 2026). MEUS reserves the right, in its sole discretion, to modify or replace these Terms at any time to reflect changes in the law (such as the EU AI Act or Digital Services Act), changes in our Service, or industry best practices.
We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, via in-app notifications or email.
Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes. If you do not agree to the new terms, your only remedy is to terminate your account and stop using the Service.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1. Age Requirements and Legal Capacity. The Service is intended for music fans globally. However, to maintain a safe and compliant environment, the following age restrictions apply:
General Rule: You must be at least 13 years old to create an account.
Regional Exceptions: * South Korea: In accordance with local ratings and PIPA, users aged 12 and above may access the platform, subject to parental consent requirements for those under 14 where applicable.
Australia & EU: Users under the age of 15 (Australia) or between 13-16 (EU/EEA) may require verifiable parental consent depending on their specific national laws.
If you are under the age of majority in your jurisdiction, you represent that you have received permission from your parent or guardian to use the Service and that they agree to these Terms on your behalf.
2.2. Account Creation and Authentication. To access most features of the Platform, you must register for an account. MEUS supports "One-Click" registration via third-party providers (OAuth 2.0) such as Google, Apple, Microsoft, and Yahoo.
Accuracy: You agree to provide true, accurate, current, and complete information. Because our AI-driven system awards points based on purchase verification, inaccurate profile data (such as a name that does not match your digital receipts) may result in the failure to attribute points.
Single Account Policy: Users are generally permitted to maintain only one personal account. The creation of multiple accounts to "farm" points or manipulate leaderboards is strictly prohibited and constitutes a material breach of this Agreement.
2.3. Account Security. You are solely responsible for:
Maintaining the confidentiality of your account credentials (passwords or session tokens).
All activities that occur under your account, including posts, interactions, and point redemptions.
Notifying MEUS immediately at tech@meusfan.com if you suspect any unauthorized access or breach of security. MEUS will not be liable for any loss or damage arising from your failure to comply with these security obligations.
2.4. Account Restrictions and Business Accounts.
Personal Use: Fan accounts are for personal, non-commercial use only.
Business Accounts (Organizers): Entities such as Labels, Brands, or Artists must register as "Business Accounts". These accounts are subject to additional verification and may be required to provide official documentation to prove their identity and authority to represent the artist or brand.
2.5. Right to Refuse Registration. MEUS reserves the right to refuse registration, suspend, or terminate any account that we believe, in our sole discretion, violates these Terms, infringes on third-party rights (such as impersonating an artist), or poses a risk to the integrity of the MEUS community.
3. NATURE OF THE SERVICE AND REWARD SYSTEM
3.1. Description of the Gamified Service MEUS is an innovative platform designed to identify, verify, and reward the loyalty of music fans. The Service allows Users to accumulate rewards by demonstrating their engagement through several verified activities:
Music Streaming: Listening to artists on authorized platforms such as Spotify, Apple Music, Last.fm, or YouTube.
Live Events: Attendance at concerts, festivals, and live performances.
Official Merchandise: The purchase of clothing, physical media, or other goods directly related to your favorite artists.
Music Tourism (Travel & Stay): The acquisition of travel services, flights, and accommodations (e.g., via Booking.com or Airbnb) specifically intended for attending music events or visiting music-related landmarks.
3.2. Points, Tokens, and Virtual Currency The Service utilizes a centralized reward system where verified actions are converted into virtual credits ("Points" or "MEUS Tokens"):
Conversion Rate: Points are attributed automatically at a standard indicative rate of €1.00 = 100 Tokens (e.g., a €100.00 merchandise purchase equals 10,000 Tokens; streaming activity is valued proportionally, starting from approximately €0.001 per stream).
Discretionary Valuation: MEUS S.R.L. reserves the absolute right to modify the "weight," value, and exchange rate of tokens or points at its sole discretion to maintain the economic balance of the Platform.
Utility Only: These tokens act as a digital currency strictly for use within the App to unlock rewards, digital certifications, or services.
3.3. Legal Status and No Monetary Value
Not an EMI: MEUS S.R.L. is not an Electronic Money Institution (EMI).
No Fiat Conversion: MEUS Tokens have no monetary value outside of the Service. They cannot be withdrawn, sold for cash, or transferred to third-party wallets.
Forfeiture: In the event of account termination, uninstallation, or 180 days of inactivity, the User instantly loses all possession and rights to accumulated tokens.
4. ARTIFICIAL INTELLIGENCE AND DATA EXTRACTION (Point 12 Update)
To facilitate the Music Tourism rewards, our AI-driven system operates under the following rules:
Contextual Scanning: When you grant access to your email (Google, Microsoft, Yahoo, or Apple), our AI models scan specifically for travel and stay confirmations (e.g., flights to a city where a festival is held) to verify your "Music Tourism" activities.
Strict Use: This data is used only to award tokens and is not shared with third parties for marketing purposes without explicit consent
5. USER CONDUCT AND MODERATION (DSA COMPLIANCE)
5.1. Prohibited Activities and Fraud Prevention. To ensure a fair and competitive environment for all fans, you agree not to engage in any of the following prohibited activities:
Token Farming & Manipulation: Creating multiple accounts, using automated scripts (bots), or exploiting system vulnerabilities to accumulate MEUS Tokens or manipulate Fan Leaderboards.
Fraudulent Submissions: Uploading or linking fake, altered, or duplicated receipts, tickets, or confirmation emails to obtain points.
Impersonation: Pretending to be an Artist, an Organizer, or another User to gain unauthorized access to rewards or information.
Reverse Engineering: Attempting to decompile, disassemble, or discover the source code or underlying algorithms (AI models) of the Platform.
5.2. Content Standards (Digital Services Act). MEUS allows users to interact, post, and share fan-related content. In accordance with the EU Digital Services Act, you are prohibited from posting content that:
Is illegal, harmful, threatening, or promotes violence/discrimination.
Infringes upon the intellectual property rights (copyright, trademarks) of Artists or third parties.
Contains unauthorized advertising, "spam," or any other form of solicitation.
5.3. Monitoring and Reporting.
Notice and Action: MEUS maintains a "Notice and Action" mechanism. Users can report illegal content or behavior directly within the App.
Automated Moderation: We may use AI-driven tools to identify and flag prohibited content or fraudulent transactions. However, significant decisions (such as permanent bans) are subject to human review upon appeal.
5.4. Account Suspension and Termination. If you violate these Terms, MEUS reserves the right to:
Issue a Warning: For minor or first-time infractions.
Temporary Suspension: Restricting access to the Platform for a specific period.
Permanent Termination: Deleting the account and permanently forfeiting all accumulated MEUS Tokens and rewards without compensation.
5.5. Right to Appeal. Under the DSA, you have the right to challenge any moderation decision. If your account is suspended or content is removed, we will provide a statement of reasons. You may contest this decision by contacting legal@meusfan.com within six months of the notification for a formal internal review.
6. INTELLECTUAL PROPERTY RIGHTS
6.1. MEUS Ownership. Unless otherwise indicated, the Service, including the website, mobile application, source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by MEUS or licensed to us.
They are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Italy, foreign jurisdictions, and international conventions.
The specific logic, prompts, and architectures used to integrate Google Gemini and OpenAI for data extraction are considered trade secrets and proprietary intellectual property of MEUS
6.2. Limited License to Users Provided that you are eligible to use the Service, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.
This license does not include any right to:
Republication, sale, or rental of the Content.
Use of data mining, robots, or similar data gathering and extraction tools.
6.3. User-Generated Content (UGC). By posting, uploading, or sharing any content (e.g., profile pictures, comments, reviews) on the Platform, you grant MEUS a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and promoting the Service.
You represent and warrant that you own or have the necessary licenses to the content you post.
6.4. Third-Party Intellectual Property (Artists & Labels). MEUS displays names, images, and logos of Artists, Record Labels, and Event Organizers.
You acknowledge that these are the property of their respective owners.
MEUS uses these assets for identification and descriptive purposes within the fan-reward ecosystem ("Fair Use" or under specific partnership agreements).
Use of these marks by Users outside the Platform is strictly prohibited.
6.5. Copyright Infringement (DMCA & EU Copyright Directive) We respect the intellectual property rights of others. If you believe that any material available on or through the Service infringes upon any copyright you own or control, please notify us immediately at legal@meusfan.com.
7. THIRD-PARTY SERVICES AND LINKS
7.1. Integration with External Platforms. The Service integrates with and relies on third-party platforms to verify fan activity, including but not limited to:
Music Streaming Services: Spotify, Apple Music, YouTube, and Last.fm.
Email and Identity Providers: Google, Microsoft (Outlook), Yahoo, and Apple.
AI Processing: OpenAI and Google Gemini.
7.2. External Links for Rewards and Purchases. The Platform contains links to third-party websites for the purpose of earning or redeeming MEUS Tokens, such as:
Ticket and Merchandise Sellers: Ticketmaster, DICE, Eventim, See Tickets, Bandcamp, and Amazon.
Music Tourism Partners (Travel & Stay): Booking.com, Airbnb, and other travel agencies or airline portals.
7.3. Limitation of Liability for Third Parties. You acknowledge and agree that:
No Control: MEUS S.R.L. has no control over the content, privacy policies, terms of use, or business practices of any third-party website or service.
Independent Transactions: Any purchase, booking, or interaction you engage in via a third-party link is a direct contract between you and that third party. MEUS is not a party to these transactions and shall not be liable for any issues arising from them, including but not limited to payment failures, non-delivery of goods, or travel cancellations.
Data Protection: Once you leave the MEUS App, our Privacy Policy no longer applies. You are responsible for reviewing the privacy terms of the third party before providing any personal or financial information.
7.4. Accuracy of Third-Party Data. While MEUS uses advanced AI (Gemini/OpenAI) to interpret data from these providers, we do not warrant the accuracy or completeness of information provided by third parties (e.g., incorrect artist metadata from a streaming service or incorrect receipt formatting from a vendor). If points are not attributed due to errors in the source data from a third party, MEUS's sole obligation is to review the case via a Support Ticket, but we cannot guarantee a correction if the external data remains unverifiable.
8. LIMITATION OF LIABILITY AND DISCLAIMERS
8.1. Service Provided "As-Is". The Service is provided on an “as-is” and “as-available” basis. You agree that your use of the Service and our Platform will be at your sole risk. To the fullest extent permitted by law, MEUS. disclaims all warranties, express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.2. AI and Algorithmic Accuracy Disclaimer. MEUS utilizes a hybrid AI architecture composed of proprietary models (MEUS AI) and third-party services (Google Gemini and OpenAI) to verify fan activity, identify "Music Tourism" transactions, and attribute tokens. However, we do not warrant or represent:
That the MEUS AI or third-party AI models will be 100% accurate or error-free in recognizing every specific purchase or travel itinerary.
That the automated processing will be uninterrupted or free of "false negatives" regarding artist identification.
Limited Remedy: Your sole remedy for any perceived error in automated point/token attribution is the manual "Support Ticket" review process.
8.3. Limitation of Liability. In no event will MEUS or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, or punitive damages, including lost profit, lost revenue, loss of data, or damages resulting from the failure of third-party partners (e.g., airlines, hotels, or merchandise vendors).
8.4. Cap on Liability To the extent permitted by applicable law, the total liability of MEUS. for any claim arising out of these Terms, regardless of the form of action, will be limited to the amount paid, if any, by you to us during the six (6) month period prior to the cause of action. If no payments were made, liability is limited to a maximum of €50.00.
9. TERMINATION AND FORFEITURE
9.1. Termination by User. You may terminate this Agreement at any time by deleting your account through the Platform’s settings or by sending a formal request to support@meusfan.com. Upon termination, your right to use the Service will cease immediately.
9.2. Termination by MEUS (Breach of Terms). MEUS reserves the right, without notice or liability, to terminate or suspend your account and access to the Service for any reason, including but not limited to:
A material breach of these Terms (e.g., fraudulent receipt submission, token farming, or harassment).
Use of the Service that poses a security risk or potential legal liability to MEUS S.R.L. or its partners.
Compliance with a request by law enforcement or other government agencies.
9.3. Termination for Inactivity (The 180-Day Rule). As established in our Privacy Policy, MEUS implements a data minimization and platform integrity policy regarding inactive accounts:
Account Abandonment: If an account remains inactive (no login or token activity) for 180 consecutive days, it will be deemed "Abandoned."
Automatic Deletion: Abandoned accounts, along with all associated data and history, will be permanently deleted from our active databases after a final notice period of 30 days.
9.4. Immediate Forfeiture of MEUS Tokens and Rewards. This is a critical condition of the MEUS ecosystem:
No Monetary Value: Since MEUS Tokens are internal utility units with no external monetary value, they do not constitute "property" or "deposits."
Total Loss upon Termination: Regardless of the reason for termination (whether by you, due to inactivity, or due to a breach), all accumulated MEUS Tokens, Fan Points, digital badges, and unclaimed rewards are immediately and permanently forfeited.
No Compensation: MEUS S.R.L. is not obligated to provide any refund, credit, or cash conversion for forfeited tokens. Once an account is deleted, tokens cannot be recovered or transferred to a new account.
9.5. Survival of Provisions. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, Section 6 (Intellectual Property), Section 8 (Limitation of Liability), and Section 10 (Governing Law).
10. GOVERNING LAW, DISPUTE RESOLUTION AND MISCELLANEOUS
10.1. Governing Law. These Terms and your use of the Service are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles.
For users residing in the European Union, this choice of law does not deprive you of the protection afforded by the mandatory consumer protection provisions of the law of your country of residence.
10.2. Dispute Resolution and Exclusive Jurisdiction. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the Courts of Perugia, Italy.
You and MEUS hereby irrevocably consent to the exclusive personal jurisdiction and venue of such courts for the adjudication of any disputes.
10.3. Online Dispute Resolution (ODR). In accordance with EU Regulation No. 524/2013, if you are a consumer residing in the European Union, you have the right to seek an out-of-court settlement via the European Online Dispute Resolution (ODR) platform. You can access the platform at: https://ec.europa.eu/consumers/odr.
10.4. Severability If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
10.5. No Waiver The failure of MEUS to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
10.6. Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and MEUS regarding the Service, superseding any prior agreements or understandings.
10.7. Electronic Communications. By using the Service, you consent to receive communications from us electronically (emails, in-app notifications). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
